These Terms of Service ("Terms") govern the relationship between Clipraze.com ("Clipraze," "we," "our," or "us"), a platform operated from Los Angeles, California, and any individual or entity ("you" or "User") who accesses or uses the Clipraze website, mobile applications, APIs, and all related features and services (collectively, the "Service").

1. The Service, Parties, and Definitions
Clipraze is a user-generated video sharing, streaming, and creator monetization platform. Users may upload, discover, and watch video content; build audiences; and earn revenue through advertising, subscriptions, paid content, and affiliate and sponsor programs.

1.2 Defined Terms
The following terms, where capitalized in these Terms, have the meanings set out below:
- "Clipraze," "we," "our," or "us" - Clipraze.com and its officers, directors, employees, contractors, and agents.
- "Creator" - a User who uploads User Content and/or participates in any monetization feature of the Service.
- "Service" - the Clipraze website, mobile applications, APIs, and all related features, tools, and services, collectively.
- "Terms" - these Terms of Service, including all policies and documents incorporated by reference.
- "User" or "you" - any individual or entity who accesses or uses the Service.
- "User Content" - videos, audio files, thumbnails, captions, comments, channel art, profile data, and all other materials uploaded, submitted, or transmitted by a User through the Service.
2. Eligibility and Age Requirements
- You must be at least 13 years old to create an account or use the Service.
- If you are under the age of majority in your jurisdiction (typically 18 in the United States), you may only use the Service with the verifiable consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.
- Where local law requires a higher minimum age for data-processing consent (such as 14-16 in certain countries), the higher applicable age controls.
- The Service is not directed to children under 13. We do not knowingly allow persons under 13 to register or use the Service.
- To access monetization features, creator payouts, or paid content you must be at least 18 years old and meet any additional eligibility criteria we establish.
- We reserve the right to require age or identity verification at any time.
3. Accounts
- You must provide accurate, current, and complete information when registering and keep it updated.
- You are solely responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You may not share your credentials, allow others to access your account, or impersonate any person or entity.
- You must notify us immediately at legal@clipraze.com of any suspected unauthorized account access.
- We may suspend or terminate accounts that appear compromised, fraudulent, or in violation of these Terms.
4. User Content
4.1 Ownership
You retain ownership of the videos, audio, thumbnails, captions, comments, channel art, profile data, and other materials you upload or submit ("User Content").
4.2 License to Clipraze
By uploading or submitting User Content, you grant Clipraze a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:
- host, store, cache, reproduce, and back up the content;
- transcode, format-convert, compress, and create technical adaptations for delivery across devices and networks;
- publicly display, perform, stream, and distribute the content to users;
- index and use content metadata for search, recommendations, and platform improvements;
- promote and market the Service using your content in accordance with your privacy settings.
This license continues for a commercially reasonable period after deletion to allow cache clearance and backup rotation, or as required by law.
4.3 Your Representations
By uploading User Content, you represent and warrant that:
- you own or have all necessary rights, licenses, consents, and permissions to upload and grant the license above;
- the content does not infringe any third-party copyright, trademark, patent, trade secret, privacy, or publicity right;
- the content complies with these Terms and all applicable laws.
5. Prohibited Conduct and Content
You agree not to upload, publish, transmit, or otherwise make available content or engage in conduct that:
- Violates any applicable federal, state, local, or international law or regulation.
- Constitutes child sexual abuse material (CSAM), any sexual content involving minors, or any material that sexualizes persons under 18.
- Contains explicit pornography or graphic sexual acts. Mature themes including suggestive or adult-oriented content may be permitted in paid or age-restricted tiers only if labeled correctly and not accessible to minors. Explicit nudity, sex acts, and pornographic content are prohibited under all circumstances.
- Incites violence, terrorism, or hate based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or similar characteristics.
- Constitutes harassment, threats, doxxing, stalking, non-consensual intimate imagery, or targeted abuse of any individual.
- Contains deceptive, fraudulent, or misleading information designed to deceive users or manipulate our systems.
- Infringes intellectual property rights of any third party.
- Contains malware, viruses, or code designed to damage, disrupt, or gain unauthorized access to any system.
- Artificially inflates views, likes, subscribers, watch time, ad impressions, or payout metrics through bots, scripts, or coordinated inauthentic behavior.
- Circumvents our age-verification, geo-restriction, content moderation, monetization, or security systems.
- Scrapes, crawls, or systematically extracts content or data without our written permission.
- Attempts to reverse-engineer or decompile the Service.
We may remove, restrict, age-gate, demonetize, downrank, or block any content at our sole discretion. Violations may result in content removal, feature suspension, demonetization, account suspension, or permanent termination.
6. Mature and Age-Restricted Content
- Some content may be designated as age-restricted or available only to verified adults in paid tiers.
- Creators who upload or sell mature-themed content are responsible for applying correct content labels and age-restriction settings.
- Clipraze does not guarantee real-time moderation of all content. We rely in part on creator labeling and community reporting.
- We reserve the right to re-classify, restrict, or remove any content we determine violates our mature-content policy regardless of creator labeling.
7. Content Moderation and Enforcement
- We may monitor, review, remove, age-restrict, demonetize, or restrict content at our sole discretion to enforce these Terms, protect users, or comply with law.
- Automated tools and human reviewers may both be used. Moderation decisions are not guaranteed to be error-free and we are not liable for any moderation action or failure to act.
- You may report content you believe violates these Terms through our reporting tools or by contacting legal@clipraze.com.
- We reserve the right to cooperate with law enforcement, child safety organizations, and regulators as required or permitted by applicable law.
8. Copyright and DMCA Policy
Clipraze respects intellectual property rights and responds to valid notices of copyright infringement under the Digital Millennium Copyright Act, 17 U.S.C. § 512.
8.1 Filing a Copyright Notice

Your notice must include:
- Electronic or physical signature of the copyright owner or authorized agent.
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the allegedly infringing material with sufficient detail to locate it (for example, the URL).
- Your name, address, telephone number, and email address.
- A good-faith statement that the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner.
8.2 Repeat Infringer Policy
We will terminate accounts of users determined to be repeat infringers in appropriate circumstances.
8.3 Counter-Notice
If you believe content was removed in error, submit a counter-notice to copyright.dmca@clipraze.com meeting the requirements of 17 U.S.C. § 512(g).
9. Creator Monetization
These terms apply to all monetization features including ad revenue share, paid subscriptions, premium video access, tips, and affiliate and sponsor tools.
- Eligibility. Monetization eligibility is determined by Clipraze at its sole discretion and may require minimum thresholds for watch time, subscribers or followers, identity verification, tax form completion, payment account setup, age verification (18+), geographic eligibility, and policy compliance standing.
- No Earnings Guarantee. Clipraze does not guarantee any level of earnings, ad fill rates, subscription revenue, audience size, or income from any monetization feature.
- Revenue Estimates. Dashboard figures may represent estimates subject to final reconciliation. Adjustments for invalid traffic, chargebacks, refunds, or fraud may reduce final payout amounts.
- Holds and Delays. Payouts may be delayed or held due to: minimum payout thresholds not being met; active policy reviews, investigations, or legal holds; tax documentation deficiencies; payment processing failures or fraud risk; account suspension or termination; or any other reason at our discretion.
- Suspension and Clawback. We may suspend, terminate, or reverse monetization and pending or previously credited earnings if we determine that: content violated policy; traffic or engagement was fraudulent or artificially generated; payment fraud, chargebacks, or reversals occurred; the account was involved in legal disputes; or content became subject to intellectual property claims. Clawback of already-paid earnings may occur where fraud or serious violations are found.
- Taxes. You are solely and exclusively responsible for determining and fulfilling all tax obligations - including income tax, self-employment tax, VAT, GST, withholding, and reporting - arising from earnings on the Service. We may collect tax documentation and may withhold and remit taxes where legally required.
- Changes. We may modify monetization models, revenue-share rates, eligibility criteria, payout schedules, and available features at any time with notice where practicable.
- Paid Content. You authorize Clipraze to collect payment from users on your behalf and remit proceeds per the applicable payout terms, net of platform fees and applicable withholding.
10. Advertiser Terms
- Ads are served based on our internal advertiser system and contextual signals. We do not sell personal data to third-party advertisers.
- Ad placement and targeting decisions are at our discretion. We do not guarantee specific ad placement on any creator's content.
- We may suspend ad delivery on content we determine is not brand-safe, regardless of whether the content otherwise complies with these Terms.
11. Fees and Payments
- Certain features require payment as disclosed at the time of purchase.
- All fees are non-refundable to the maximum extent permitted by applicable law, except where we determine a refund is warranted at our sole discretion.
- We use third-party payment processors and are not responsible for their availability, errors, security incidents, or terms of service.
12. Section 230 Notice
The Service is an interactive computer service under 47 U.S.C. § 230. We are not the publisher or speaker of User Content posted by third-party users and are not liable for such content.
13. Privacy
Our Privacy Policy at https://www.clipraze.com/privacy-policy is incorporated into these Terms by reference.
14. Third-Party Services
The Service may contain links, embeds, or integrations with third-party websites, services, analytics tools, and payment processors. We are not responsible for the content, practices, terms, or security of any third-party service.
15. Service Availability
- The Service is provided "as is" and "as available" without warranty.
- We may modify, suspend, or permanently discontinue any aspect of the Service at any time without liability.
- We do not warrant uninterrupted, timely, secure, or error-free operation.
16. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLIPRAZE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE AVAILABLE AT ANY PARTICULAR TIME, BE FREE OF ERRORS OR DEFECTS, OR THAT DEFECTS WILL BE CORRECTED.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- CLIPRAZE, ITS PARENT, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, SUBSCRIBERS, EARNINGS, OR BUSINESS OPPORTUNITY.
- OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO CLIPRAZE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
- THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ANY LIMITED REMEDY FAILS ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow exclusion of certain warranties or limitation of certain damages. In those jurisdictions our liability is limited to the maximum extent permitted by law.
18. Indemnification
You agree to defend, indemnify, and hold harmless Clipraze and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- your User Content;
- your use of the Service;
- your violation of these Terms;
- your violation of any applicable law;
- your infringement of any third-party right;
- any tax claim arising from your failure to satisfy your tax obligations.
19. Termination
- You may stop using the Service and delete your account at any time.
- We may suspend or permanently terminate your access, with or without notice, at our sole discretion.
- Upon termination, your license to use the Service ends immediately. Pending balances subject to holds, fraud determinations, or policy violations may be forfeited.
- Sections 4.2, 12, 16, 17, 18, 20, and any provisions intended to survive, do survive termination.
20. Dispute Resolution, Arbitration, and Governing Law
20.1 Governing Law
These Terms shall be governed by the laws of the State of California, without regard to conflict-of-law principles.
Before initiating arbitration, contact us at legal@clipraze.com and allow 60 days to attempt informal resolution.
20.3 Binding Arbitration
If informal resolution fails, you and Clipraze agree to resolve any dispute through binding individual arbitration administered by JAMS under its applicable rules, seated in Los Angeles, California. The arbitrator's decision shall be final and binding.
Exceptions: Either party may bring individual claims in small-claims court in Los Angeles County if eligible, or seek injunctive relief to protect intellectual property or confidential information in any court of competent jurisdiction.
20.4 Class Action Waiver
YOU AND CLIPRAZE EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR ANY REPRESENTATIVE PROCEEDING. ALL DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS ONLY.
20.5 Opt-Out
You may opt out of arbitration by sending written notice to legal@clipraze.com within 30 days of first agreeing to these Terms, stating "I opt out of Clipraze arbitration" along with your name, email, and username. If you opt out, disputes shall be resolved exclusively in state or federal courts in Los Angeles County, California.
20.6 Venue
For matters excluded from arbitration or if the arbitration clause is found unenforceable, you consent to exclusive jurisdiction in the courts of Los Angeles County, California.
21. Changes to These Terms
We may update these Terms at any time. Material changes will be communicated by updating the "Last Updated" date and posting notice on the Service. Continued use after the effective date constitutes acceptance.
22. General Provisions
- Entire Agreement. These Terms and our Privacy Policy constitute the entire agreement between you and Clipraze regarding the Service.
- Severability. If any provision is held invalid, the remaining provisions remain in effect.
- Waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment. You may not assign your rights without our prior written consent. We may assign ours freely.
- Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Language. These Terms are in English. Any translation is for convenience only; the English version controls.
